| Secondary Offering Details: | TORM plc (the "Company" or "TORM") (NASDAQ: TRMD) or (NASDAQ: TRMD A) today announces the commencement of a secondary public offering of 6,329,874 of the Company's Class A common shares by OCM Njord Holdings S.? r.l. (the "Selling Shareholder"), a company indirectly owned by funds indirectly managed by Oaktree Capital Management GP, LLC and its affiliates. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed. -updated 10/6- TORM plc (the "Company" or "TORM") (NASDAQ: TRMD) (NASDAQ: TRMD A) today announces the pricing of a secondary public offering of 6,329,874 (six million three hundred twenty-nine thousand eight hundred seventy-four) of the Company's Class A common shares by OCM Njord Holdings S.? r.l. (the "Selling Shareholder"), a company indirectly owned by funds indirectly managed by Oaktree Capital Management GP, LLC and its affiliates, for gross proceeds to the Selling Shareholder of approximately U.S. $253,500,000 (two hundred fifty-three million five hundred thousand). The offering is expected to close on October 7, 2026. |
TORM is a carrier of refined oil products. Co.'s activities are primarily the transportation of clean petroleum products, such as gasoline, jet fuel, kerosene, naphtha and gas oil, and occasionally dirty petroleum products, such as fuel oil. Co. has an in-house operating and management platform which performs commercial, administrative and technical management for its vessels. Through this platform, Co. handles the commercial management of all its vessels and the technical management of all its owned vessels. Co. conducts all vessel sale and purchase activities in-house, utilizing relationships with shipbrokers, shipyards, financial institutions and other shipowners.
